Responsibilities: May telecommute. Work with TestAmerica administrative team to develop and execute on parent company’s requirements including analysis, spending and control limits on contracts and authorization limits, review and tracking of senior leadership targets, budgets, and tracking systems. Tracking and analysis of major cost items by business unit on a monthly basis. Completion of budget and forecast reports. Completion of sales commissions statements by employee. Review and documentation of client contracts for revenue recognition by the company under IFRS 15. Prepare Executive Powerpoint reports for budgets, monthly reports and meetings. Review and track company performance within parent company’s spending and controls policies. Complete parent company variance reports monthly and ensure board consents are executed for all spending and control variances. Capital expenditure tracking and reporting. Analysis of acquisitions and divestments.
Requirements: Master’s in law, public administration or related field and 2 yrs of exp in job offered or 2 years of M&A exp. Exp must include 2 yrs each of the following: analyzing and reviewing legal contracts; identifying M&A strategic buyers and targets worldwide; performing DCF, M&A comps, LBO, accretion/dilution and WACC analyses; drafting target company approach letters, teasers, acquisition idea and buyer profiles, information memorandums, management presentations and pitch books; and participation in Confidentiality Agreement, Letter of Intent and Sale & Purchase Agreement negotiations. Experience may be gained concurrently. May telecommute.
